Common use of Public Offering of the Shares Clause in Contracts

Public Offering of the Shares. The Lead Underwriters hereby advise the Company and the Selling Shareholders that the Underwriters intend to offer for sale to the public, initially on the terms set forth in the Time of Sale Prospectus and each Prospectus, their respective portions of the Shares as soon after this Agreement has been executed and the Registration Statement has been declared effective as the Lead Underwriters, in their sole judgment, have determined is advisable and practicable. The Underwriters may from time to time, after the Shares have initially been offered to the public, increase or decrease the Offering Price in the United States to such extent as may be determined by the Underwriters, and vary the Offering Price in Canada to the extent permitted by Canadian Securities Laws.
