Prudent Operation Sample Clauses

The Prudent Operation clause requires parties, typically in an energy or infrastructure context, to operate and maintain equipment or facilities in a manner consistent with good industry practices. This means that operators must act with the level of care, skill, and diligence that would reasonably be expected from a competent operator under similar circumstances, such as performing regular maintenance, adhering to safety standards, and responding appropriately to emergencies. The core function of this clause is to set a clear standard of operational conduct, thereby minimizing risks of negligence, ensuring safety, and promoting reliability in operations.

Said obligation remains until each asset or obligation is sold, pursuant to the auctions or sale mechanisms described above. Prudence is to be determined under the standards contained in New Hampshire law pursuant to procedures that the parties will establish in the definitive agreement.
