Common use of Proxy Materials Clause in Contracts

Proxy Materials. The Custodian shall promptly deliver, or cause to be delivered, to the Trust proxy forms, notices of meeting, and any other notices or announcements materially affecting or relating to Investments received by the Custodian. Information relative to any pending corporate action made available to the Trust, on behalf of any Fund, via any of the services described in the Electronic and Online Services Schedule shall constitute the delivery of such information by the Custodian.

Proxy Materials. The Custodian shall promptly deliver, or cause to be delivered, to the Trust Fund proxy forms, notices of meeting, and any other notices or announcements materially affecting or relating to Investments received by the Custodian. Information relative to any pending corporate action made available to the Trust, on behalf of any Fund, Company via any of the services described in the Electronic and Online Services Schedule shall constitute the delivery of such information by the Custodian.

The Custodian shall promptly deliver, or cause to be delivered, to the Trust proxy forms, notices of meeting, and any other notices or announcements materially affecting or relating to Investments received by the Custodian in a timely manner following Custodian’s (or its Agent’s) receipt of such materials. Information relative to any pending corporate action proxy, meeting or other announcement described in the preceding sentence made available to the Trust, on behalf of any Fund, Trust via any of the services described in the Electronic BBH Online Terms and Online Services Schedule Conditions shall constitute the delivery of such information by the Custodian.

Information relative to any pending corporate action made available to the TrustFund, on behalf of any FundPortfolio, via any of the services described in the Electronic and Online Services Schedule shall constitute the delivery of such information by the Custodian.

The Custodian shall promptly deliver, or cause to be delivered, to the Trust Company, proxy forms, notices of meeting, and any other notices or announcements materially affecting or relating to Investments received by the Custodian. Information relative to any pending corporate action made available to the Trust, on behalf of any Fund, Company via any of the services described in the Electronic and Online Services Schedule shall constitute the delivery of such information by the CustodianCustodian hereunder.
