Provision for Bylaws Clause Samples

A Provision for Bylaws clause establishes the authority and process for creating, amending, or repealing the internal rules (bylaws) that govern an organization’s operations. Typically, this clause specifies who has the power to adopt or modify bylaws—such as the board of directors or shareholders—and may outline the required procedures or voting thresholds. Its core function is to ensure that the organization has a clear and adaptable framework for internal governance, allowing for orderly management and the ability to respond to changing needs or circumstances.
Provision for Bylaws. The Board shall promulgate Bylaws to govern the day-to-day operations of the Authority. The Board may amend the Bylaws from time to time as it deems necessary, and as provided in the Bylaws. Each Member shall receive a copy of any Bylaws and agrees to be bound by and to comply with all of the terms and conditions of the Bylaws as they exist or as they may be modified. The Bylaws shall be consistent with the terms of this Agreement. In the event any provision of the bylaws conflicts with a provision of this Agreement, the provision contained in this Agreement shall control.
Provision for Bylaws. The Board may cause to be developed and may adopt, from time to time, such bylaws for the Authority to govern its day-to-day operations. Each Member shall receive a copy of any bylaws developed and adopted under this section.
