Common use of Protective Agreements Clause in Contracts

Protective Agreements. The Company shall cause all of the officers and consultants of the Company and its Subsidiaries who have access to proprietary information of the Company and its Subsidiaries to execute agreements which contain restrictions regarding non-solicitation of employees and customers, non-disclosure of information and assignment of technology to the Company, which are each in a form acceptable to the Investor.

Protective Agreements. The Company shall cause require all of the its future officers and consultants key employees to execute and deliver agreements not to solicit customers or employees following termination of service to the Company and its Subsidiaries who have access proprietary information and invention assignment agreements in forms reasonably acceptable to the Company and the Majority Investors. In addition, the Company shall require each consultant and employee not referenced in the preceding sentence to be subject to proprietary information of the Company and its Subsidiaries to execute invention assignment agreements which contain restrictions regarding non-solicitation of employees and customers, non-disclosure of information and assignment of technology to the Company, which are each in a form acceptable to the Investorupon commercially reasonable terms.
