Common use of Prospectuses and Supplements Clause in Contracts

Prospectuses and Supplements. MassMutual has caused registration statements to be prepared describing the material aspects of the Variable Products. MassMutual represents and warrants for the effective period of this Agreement that the prospectuses contained in the registration statements for the Variable Products (the “Prospectuses”) do not and shall not contain any untrue statements of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were or are made, not materially misleading. MSD shall furnish Producers, at no cost to Producers, a reasonable number of copies of the Prospectuses, upon request. If any event does occur as a result of which it is necessary to amend or supplement the Prospectus for any Variable Product in order to make the statements therein, in light of the circumstances under which they were or are made, true, complete or not misleading, MSD shall promptly furnish or make available to Producers upon request, without charge, any supplements to the Prospectuses prepared by MassMutual and supplied to MSD sufficient to make the statements made in the Prospectus as supplemented true, complete and not misleading.

MassMutual represents Insurance Companies represent and warrants warrant for the effective period of this Agreement that the prospectuses contained in the registration statements for the Variable Securities Products (the “Prospectuses”) do not and shall will not contain any untrue statements of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were or are made, not materially misleading. MSD shall Distributors will furnish Producers, at no cost to Producers, a reasonable number of copies of the Prospectuses, upon request.
