Prospective effect only. The amendments made hereby to the Facility Agreement shall, with effect from the Effective Date, have prospective effect only.

Prospective effect only. Adjustments to the Applicable Margin hereunder shall be given prospective effect only, effective (i) as to all Prime-based Advances outstanding hereunder, immediately upon any change in the Rating Level then in effect, and (ii) as to each Eurocurrency-based Advance outstanding hereunder, effective upon the expiration of the applicable Interest Period(s), if any, in effect on the date of the obtaining and/or any change in the Rating Level in effect hereunder, in each case with no retroactivity or claw-back.
