Prospective Adjustments; Committee Determinations. The Committee may make prospective adjustments to the Award to the extent such adjustments would not cause the loss of a deduction under Code Section 162(m). All determinations made by the Committee or otherwise by PNC hereunder shall be made in its sole discretion and shall be final, binding and conclusive for all purposes on all parties.
