Proprietary Information or Trade Secrets of Others. Consultant represents, warrants and covenants that it will not disclose to the Company, or use, or induce the Company to use, any proprietary information or trade secrets of others. Consultant further represents, warrants and covenants that it is not party to any agreement, oral or written, which restricts its right or capacity to execute this Agreement or to compete with a previous employer, associate or affiliate in any way whatsoever.
