Proposed Ratification. The Proposed Ratification is necessary to be in compliance with the provisions of Paragraph 10.08(2) of the Listing Requirements, in that any one of the percentage ratios of a related party transaction is more than 5%, a listed issuer must amongst others obtain prior shareholders’ approval for the transaction in general meeting. Other than the interests of the related parties in Anzo Shares as disclosed in Section 2.1 of this announcement, the Transactions have been made based on normal commercial terms, at arms’ length, and have been transacted on terms that are not more favourable to the related parties than those generally available to the public. The price of the Products supplied to CSTME was determined with reference to the prevailing market price in the local market and price quoted on the LME. The Transactions are readily business opportunities available to the Group to expand its revenue base and improve its financial performance. The Proposed Ratification serves to ratify the Transactions as elaborated in Section 3 of this announcement (as well as any other additional transactions up to the latest practicable date) without compromising the corporate objectives or adversely affecting the existing business opportunities available to the Group.
