Proponent Acknowledgements. Each of Inco and VBNC acknowledges that neither the Government nor any Person for whom it may be responsible in law has made any representations and warranties with respect to this Agreement or any of the Instruments, except the representations and warranties expressly made in this Agreement or in any of the Instruments.
Proponent Acknowledgements. ‌ A Proponent, by confirming it wishes to submit a Proposal by signing the Acknowledgement and/or submitting a Proposal, acknowledges and agrees: (a) ACSA is in its initial stages of considering, evaluating and planning for the Project and has not determined whether or not to proceed with the Services; (b) ACSA may not yet have obtained the corporate, regulatory or other approvals required to proceed with the Project or the Services, in whole or in part; (c) Proposals submitted in response to this RFP are likely to be a factor considered by ACSA when determining whether to enter into the Proposed Form of Agreement, proceed with the Services, the manner in which to proceed with the Services or any other matter required to seek the approvals that may ultimately be required by ACSA to proceed with the Services or any portion thereof; (d) ACSA may enter into discussions with any other person that is not a Proponent for the purpose of such person potentially performing the Services, in whole or in part, or services similar to the Services; (e) if any contract for the Services is entered into with a Proponent or other person following submission of a Proposal, such Services may only be awarded following any discussions, clarifications or negotiations regarding a Proposal, the Proposed Form of Agreement or any other matter that a Proponent or ACSA may require to be addressed before agreeing to proceed with the Services or any portion thereof; (f) ACSA makes no representations to any Proponent that it will award any of the Services following submission of any Proposal to a Proponent or any other person or that ACSA will proceed as contemplated in this RFP; (g) one or more Proponent(s) participating in this RFP process may have performed, or may be performing, certain services for ACSA with respect to the Project before or concurrent with the issuance of this RFP. Each Proponent agrees to participate in this RFP process notwithstanding such information and notwithstanding any other Proponent(s) prior involvement in the Project may give such Proponent(s) an actual or perceived commercial advantage when participating in this RFP process given its existing knowledge of the Project; (h) it submits a Proposal entirely at its own risk, with the understanding that there are no obligations imposed on ACSA hereunder and no representations given by ACSA that a Proponent may be awarded a contract for any of the Services regardless of the contents of its Proposal; (i) ACSA has...
