Properties & Tangible Assets. (a) The Corporation does not own any real property. (b) Except as set out in Schedule 3.9 of the Disclosure Letter, the Corporation holds title to its assets free and clear of all Liens, adverse claims, easements, rights of way, servitudes, zoning or building restrictions or any, other rights of others or other adverse interests of any kind, including leases, chattel mortgages, conditional sales contracts, collateral security arrangements and other title or interest retention arrangements (collectively, "Encumbrances"), except Permitted Liens and any Encumbrances which would, individually or in the aggregate, be reasonably expected to result in a Material Adverse Effect.
