Common use of Proof of Execution by Securityholders Clause in Contracts

Proof of Execution by Securityholders. Subject to the provisions of Section 7.01, Section 7.02 and Section 9.05, proof of the execution of any instrument by a securityholder or its agent or proxy, or of the holding by any person of a Security, shall be sufficient and conclusive in favor of the Trustee and the Company if made in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The principal amount and serial numbers of Registered Securities held by any person, and the date of holding the same, shall be proved by the Security Register. The record of any securityholders’ meeting shall be proved in the manner provided in Section 9.06.

Proof of Execution by Securityholders. Subject to the provisions requirements of Section 7.01, Section 7.02 the Trust Indenture Act of 1939 and Section 9.05Sections 5.1 and 6.11, proof of the execution of any instrument by a securityholder Securityholder or its his agent or proxy, or of the holding by any person of a Security, proxy shall be sufficient and conclusive in favor of the Trustee and the Company if made in accordance with such reasonable rules and regulations as is necessary or as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The principal amount and serial numbers ownership of Registered Securities held by any person, and the date of holding the same, shall be proved by the Security RegisterRegister or by a certificate of the person designated by the Issuer to keep the Register and to act as repository in accordance with the provisions of Section 2.12. The record of any securityholders’ Securityholders' meeting shall be proved in the manner provided in Section 9.066.12.

Subject to the provisions of Section 7.01Sections 6.01, Section 7.02 6.02 and Section 9.058.05, proof of the execution of any instrument by a securityholder Securityholder or its such Securityholder’s agent or proxy, or of the holding by any person of a Security, proxy shall be sufficient and conclusive in favor of the Trustee and the Company if made in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The principal amount and serial numbers ownership of Registered Debt Securities held by any person, and the date of holding the same, shall be proved by the Debt Security RegisterRegister or by a certificate of the Debt Security registrar. The Trustee may require such additional proof of any matter referred to in this Section as it shall deem necessary. The record of any securityholdersSecurityholders’ meeting shall be proved in the manner provided in Section 9.068.06.
