Common use of PROOF OF EXECUTION BY DEBENTUREHOLDERS Clause in Contracts

PROOF OF EXECUTION BY DEBENTUREHOLDERS. Subject to the provisions of Sections 6.01, 6.02 and 8.05, proof of the execution of any instrument by a Debentureholder or his agent or proxy shall be sufficient if made in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The ownership of Debentures shall be proved by the Debenture Register or by a certificate of the security registrar for the Debentures. The Trustee may require such additional proof of any matter referred to in this Section 7.02 as it shall deem necessary. The record of any Debentureholders' meeting shall be proved in the manner provided in Section 8.06.
