Project Steering Committee Composition. (a) The Parties shall establish a “Project Steering Committee” which shall consist of four members. Each Party shall appoint 2 representatives to the Project Steering Committee. (b) The Project Steering Committee shall meet in person or by phone on the dates and at the times agreed by the members of the Project Steering Committee which are expected to occur monthly from the Effective Date until the commencement of construction and quarterly from the commencement of construction to the Project In-Service Date. A quorum of the Project Steering Committee shall require both representatives of each of the Parties (for a total of four (4) representatives). Decisions of the Project Steering Committee shall only be binding if approved by a quorum of the Committee; provided further that any such decision involving a Material Matter shall be confirmed in a writing executed by at least one representative of each Party, copies of which shall promptly be provided by the Steering Committee to each Party in accordance with Section 22.13. (c) NYPA shall be entitled to designate one of its members as the chairman of the Project Steering Committee. The chairman of the Project Steering Committee shall develop and circulate an agenda for each meeting provided that any member of the Project Steering Committee shall be entitled to propose matters to be included in such agenda.
