Common use of Program Support Clause in Contracts

Program Support. Pier 1 shall not take any action that Bank reasonably concludes is materially inconsistent with the Program Objectives or otherwise materially adversely affects the Program or Bank’s relations with the Cardholders in any material respect. Bank acknowledges and agrees that in the event Pier 1 takes actions in connection with the operation of its business that result in an Adverse Sales Development, any such actions will be governed by Section 11.4(i) and not Section 11.4(g).

Pier 1 Bank shall not take any action that Bank Pier 1 reasonably concludes is materially inconsistent with the Program Objectives or otherwise materially adversely affects the Program or Bank’s Pier 1's retail business or relations with the Cardholders its customers in any material respect. Bank acknowledges and agrees that in the event Pier 1 takes actions in connection with the operation of its business that result in an Adverse Sales Development, any such actions will be governed by Section 11.4(i) and not Section 11.4(g).
