Common use of Program Ready Date Clause in Contracts

Program Ready Date. If the Company requests that ICS delay the launch of Services more than six months beyond the agreed-upon date on the signature page to this Agreement (the “Program Launch Date”), the Company will pay ICS a program ready fee and any associated expenses as specified in Schedule B, including reasonable out-of-pocket costs and other expenses. The Company will give ICS at least one week’s written notice of changes to the Program Launch Date. Program ready fees will continue until the Program Launch Date. After the Program Launch Date, ICS will invoice and the Company will pay the Charges related to the applicable monthly program fees as specified in Schedule B. For the first month during which Services are performed, ICS will prorate any difference between program ready fees and applicable monthly program fees.

If the Company requests that ICS delay the launch of Services more than six months thirty-five (35) days beyond the agreed-upon date on the signature signatory page to this Agreement (the “Program Launch Date”)) for any reason other than ICS’ failure to be in compliance with its obligations under this Agreement, the Company will pay ICS a program ready fee the Stand-Ready Fee and any associated expenses as specified in Schedule B, including reasonable out-of-pocket costs and other expenses. The Company will give ICS at least one week’s written notice of changes to the Program Launch Date. Program ready fees will continue until the Program Launch Date. After the Program Launch Date, ICS will invoice and the Company will pay the Charges related to the applicable monthly program fees as specified in Schedule B. fees.
