PROGRAM PAYMENT AMOUNTS. During the Program Term, and in consideration of Millennium's continuing performance of the research services under the Research Plan (as reviewed, modified or updated and approved annually by the Parties in accordance with Section 2.5), Bayer shall make program payments to Millennium in the installments and on the dates set forth in EXHIBIT D to this Agreement (the "Program Payments").
