PROGRAM AND COMMERCIAL MATERIAL. (a) Unless otherwise noted on the face of this contract or other written agreement between STATION and AGENCY, all program material, commercial announcements, advertisements or other commercial copy produced, provided or approved by AGENCY for broadcast by STATION or its affiliates (“AGENCY Material”) shall be furnished by AGENCY. If prior to the first scheduled broadcast AGENCY so requests, STATION shall return AGENCY Material to AGENCY at the end of the scheduled run. If AGENCY does not so request, STATION shall have the right, but not the obligation, to dispose of such material. All expenses connected with the delivery of material to be provided by AGENCY to STATION, and with return to AGENCY from STATION, if return is directed, shall be paid by AGENCY. (b) All AGENCY Material furnished by AGENCY shall be delivered to STATION at AGENCY’s sole cost and expense. AGENCY shall deliver all materials, including scheduling instructions, no later than 48 hours (exclusive of Saturdays, Sundays and holidays) in advance of broadcast. STATION is required to advise AGENCY by telephone, email or telecopy if such materials do not so arrive. If such materials do not arrive at STATION within 24 hours after STATION has notified AGENCY, STATION may bill AGENCY and AGENCY shall be liable for the time reserved. (c) AGENCY Material provided by AGENCY must comply with all rules and regulatios of the Federal Communications Commission and with applicable federal, state and local laws. (d) AGENCY Material provided by AGENCY is subject to STATION approval and STATION, in its sole discretion, may exercise a continuing right to reject such material, including without limitation, a right to reject for unsatisfactory technical quality. In the event any portion of the AGENCY Material is unsatisfactory, STATION shall notify AGENCY by telephone, email or telecopy and unless AGENCY furnishes satisfactory material 24 hours in advance of broadcast, STATION shall have the right to substitute its own program or commercial material with no liability of STATION to AGENCY. AGENCY shall also pay, as liquidated damages, the amount that AGENCY would have been obligated to pay hereunder.
PROGRAM AND COMMERCIAL MATERIAL. (a) CUSTOMER shall furnish all Program material at CUSTOMER'S expense. CUSTOMER shall deliver Program material and broadcast scheduling instructions to West Texas Radio Group before the Stations' established deadlines and no less than two

All expenses connected with the delivery of commercial announcements to Broadcast Management Services, Inc., and with return there from, if return is directed, shall be paid by CLIENT.
PROGRAM AND COMMERCIAL MATERIAL. (a) This Agreement for station time includes the service of staff only as agreed on Page 1 of the contract. Other talent and service charges, if any, must be covered by additional contract, and such charges are subject to change by the Client with the consent of the Programmer. (b) Broadcasts or announcements prepared by Client are subject to the approval of Programmer as to broadcast content and artist. (c) Client shall defend, indemnify, and hold Programmer, including its owners, officers, directors, and shareholders, harmless from and against any and all claims, damages, liabilities, fines, costs, and expenses including attorney's fees, which result from (i) any broadcasts made in the form furnished by Client; (ii) breach, misrepresentation, or other violation of this Agreement by Client or any persons affiliated with Client, whether or not this was authorized by Client; (iii) discrimination in advertising contracts as detailed in Paragraph 9; or (iv) the gross negligence or willful misconduct of Client or its agents. Programmer agrees to hold and save Client harmless where the broadcasts are prepared and produced both as artists and broadcast content by the Programmer excepting only such liability as may result from the broadcasting of commercial credits and other materials furnished by the Client. (d) The provisions of Paragraph 6(c) shall survive any cancellation or termination of this Agreement.
PROGRAM AND COMMERCIAL MATERIAL a. All program material, excluding commercial announcements, shall be furnished by STATION, and CLIENT shall furnish all commercial announcement material. CLIENT shall be solely responsible for timely delivery of commercial announcement materials to STATION as well as any associated delivery and return costs. b. Broadcast program and commercial material provided by CLIENT is subject to approval by STATION. STATION may exercise a continuing right to reject such material including a right to reject for content or unsatisfactory technical quality. In the event program material is unsatisfactory, STATION shall notify CLIENT, and, unless CLIENT furnishes satisfactory material sufficiently in advance of the broadcast date, STATION shall have the right not to broadcast the program or commercial and STATION shall credit CLIENT for the time and/or program charges hereunder in the amount of money assigned to the commercial and/or program at time of purchase.
