Professional Credentials. Each Partner is a Certified Public ------------------------ Accountant in good standing in one of the States of the United States or the District of Columbia, and entitled to practice in one of the jurisdictions in which the Company or any Company Subsidiary maintains an office, and there are no disciplinary proceedings pending or threatened against the Company, any Company Subsidiary or any of the Partners by any Governmental Authority or self- regulatory organization regulating, licensing or permitting the practice of public accountancy.
