Common use of Production Elements Clause in Contracts

Production Elements. The “Strike Price” is $11,300,614, which includes (a) direct costs of $10,273,285, (b) a contingency allowance (regardless if there is another or no amount therefor included in the Budget) of $821,863 (the “Contingency”) (which, if applicable, will be supplemented by Producer Deferral of $25,000), and (c) the guaranty fee (regardless if there is another or no amount therefor included in the Budget) of $205,466 (the “Guaranty Fee”). The Parties have Each Party has approved of each of the production elements concerning element with respect to the Film listed below (collectively, the “P roduction ElementsProduction Element”), each of which shall remain remains subject to non-material changes: 3.1.1 The budget dated February January 5, 2021, with 2015 which lists a grand total of $11,809,14210,361,079, a copy of the top-sheet of which is attached hereto as Exhibit “A-1” (the “Budget”). 3.1.2 The cash flow schedule dated February January 5, 20212015, a copy of which is attached hereto as Exhibit “A-2” (the “CashCash Flow 3.1.3 The key cast and key crew listed in E xhibit Exhibit “A-3” attached hereto (the “Key Cast Cast” and Crew List“Key Crew”) including each “Essential Element,” if any, which is denoted by the symbol “EE” beside his/her name therein, or any permitted replacements made by Producer or Completion Guarantor that, to the extent applicable, have been approved under the terms of the Interparty Agreement and the Distributor AssignmentsGuarantor. 3.1.4 The location of AtlantaNew Orleans, Georgia Louisiana and its environs for the principal photography of the Film and Los Angeles, California and its environs for the post-production of the Film (collectively, the “L ocationLocation”). 3.1.5 Each of The production account with Account No.: 123456789, maintained at Chase Bank, located at ▇▇▇▇ ▇▇ ▇▇▇▇▇▇▇ ▇▇▇ New Orleans, LA 70130, Attention: ▇▇▇▇ ▇▇▇▇▇, ABA Routing No.: 109876543 (the bank account(s) listed in E xhibit “A-4” attached hereto (individually and collectively, the “ Production Account”). 3.1.6 The shooting schedule dated February January 5, 20212015, copies of the first and last page pages of which are attached hereto as E xhibit “A-5A-4” with 31 days of first unit principal photography (the “Shooting Schedule”), and the post calendar dated February January 5, 20212015, copies of the first and last page pages of which are attached hereto as E xhibit Exhibit “A-6A-5” with 22 weeks of post-production (the “Post Calendar” and together with the Shooting Schedule, the “Schedule”). 3.1.7 The screenplay entitled Tempest in a TeapotIndependent Spirit, written by ▇▇▇▇▇▇▇ ▇▇▇▇▇ and is 102 pages in length, copies of the cover first and last page pages of which are attached hereto as Exhibit “A-7A-6” (the “Screenplay”). A RTICLE 4 - FUNDING 4.1 Strike Price. The “Strike Price” is $11,300,614, which includes (a) direct costs of $10,273,285, (b) a contingency allowance (regardless if there is another or no amount therefor included in the Budget) of $821,863 (the “Contingency”) (which, if applicable, will be supplemented by Producer Deferral of $25,000), and (c) the guaranty fee (regardless if there is another or no amount therefor included in the Budget) of $205,466 (the “Guaranty Fee”). The Strike Price does not include any Interest or Charges.
