Processor’s Role as a Data Controller Clause Samples
The 'Processor’s Role as a Data Controller' clause defines circumstances under which a data processor may act as a data controller, taking on independent responsibility for certain personal data. In practice, this clause clarifies that when the processor determines the purposes and means of processing data—rather than following the instructions of the data controller—it assumes legal obligations and liabilities associated with a data controller under data protection laws. This provision is essential for delineating responsibilities and ensuring compliance, as it prevents ambiguity over who is accountable for data protection in specific scenarios.
Processor’s Role as a Data Controller. The parties acknowledge and agree that to the extent Processor processes Personal Data in connection with the Agreement to: (i) monitor, prevent and detect fraud, and to prevent harm to Controller, Processor and the Processor’s affiliates, and to third parties; (ii) comply with legal or regulatory obligations applicable to the processing and retention of Personal Data to which Processor is subject; (iii) analyze, develop and improve Processor’s products and services; or (iv) provide the Processor products and services to Processor users, Processor is acting as a data controller with respect to the Processing of such Personal Data it receives from or through Controller.
