Processor and Controller Responsibilities. The parties acknowledge and agree that that, except in circumstances where Section 2.10 applies, between TD and Company: (a) TD is a Processor or the equivalent of Company Personal Data under Applicable Privacy Law; (b) Company is a Controller or the equivalent of Company Personal Data Protection Legislation;under Applicable Privacy Law; and (c) each party will comply with the obligations applicable to it under Applicable Privacy Law with respect to the Processing of Company Personal Data.
