PROCESSING COMPANY SETTLEMENT PAYMENT. On the fourth business day following delivery of the Final Processing Closing Balance Sheet pursuant to this Section 5, (i) Holdco shall pay or cause to be paid to ConAgra or its designee the amount, if any, by which the Combined Processing Company Stockholders Net Investment set forth in the Final Processing Closing Balance Sheet exceeds the Estimated Processing Company Stockholders Net Investment, (ii) ConAgra or its designee shall pay to Holdco the amount, if any, by which the Estimated Processing Company Stockholders Net Investment exceeds the Combined Processing Company Stockholders Net Investment set forth in the Final Processing Closing Balance Sheet, and (iii) the party making the payment pursuant to (i) or (ii) above shall also pay interest on such amount from the Closing Date through the date of payment at the Prevailing Rate.
