Common use of Proceeds of the Offering Clause in Contracts

Proceeds of the Offering. Except as disclosed in the FINRA Questionnaires provided to the Representative, to the Company’s knowledge, no proceeds from the sale of the Public Securities (excluding underwriting compensation) or the Placement Warrants, will be paid to any Participating Member, or any persons associated or affiliated with a Participating Member, except as specifically authorized herein.
