Common use of Proceedings to Enjoin or Prevent Construction Clause in Contracts

Proceedings to Enjoin or Prevent Construction. If any proceedings are filed seeking to enjoin or otherwise prevent or declare invalid or unlawful Tenant's construction, occupancy, maintenance, or operation of the Facility or any portion thereof, Tenant will cause such proceedings to be vigorously contested in good faith, and in the event of an adverse ruling or decision, prosecute all allowable appeals therefrom, and will, without limiting the generality of the foregoing, resist the entry or seek the stay of any temporary or permanent injunction that may be entered, and use its best efforts to bring about a favorable and speedy disposition of all such proceedings and any other proceedings.

If any proceedings are filed seeking to enjoin or otherwise prevent or declare invalid or unlawful Tenant's ’s construction, occupancy, maintenance, or operation of the any Facility or any portion thereofthereof for its Primary Intended Use, Tenant will shall cause such proceedings to be vigorously contested in good faith, and in the event of an adverse ruling or decision, prosecute all allowable appeals therefrom, and willshall, without limiting the generality of the foregoing, resist the entry or seek the stay of any temporary or permanent injunction that may be entered, and use its best all reasonable commercial efforts to bring about a favorable and speedy disposition of all such proceedings and any other proceedings.

If any proceedings are filed seeking to enjoin or otherwise prevent or declare invalid or unlawful Tenant's ’s construction, occupancy, maintenance, or operation of the Facility or any portion thereof, Tenant will cause such proceedings to be vigorously contested in good faitha commercially reasonable manner, and and, in the event of an adverse ruling or decision, prosecute all allowable appeals therefromtherefrom (if appropriate) in a commercially reasonable manner, and will, without limiting the generality of the foregoing, resist the entry or seek the stay of any temporary or permanent injunction that may be entered, and use its best commercially reasonable efforts to bring about a favorable and speedy disposition of all such proceedings and any other proceedings.

If any proceedings are filed seeking to enjoin or otherwise prevent or declare invalid or unlawful Tenant's ’s construction, occupancy, maintenance, or operation of the Facility or any portion thereof, Tenant will will, in accordance with and subject to the terms, conditions and provisions of §3.7, cause such proceedings to be vigorously contested in good faith, and in the event of an adverse ruling or decision, prosecute all allowable appeals therefrom, and will, without limiting the generality of the foregoing, resist the entry or seek the stay of any temporary or permanent injunction that may be entered, and use its best commercially reasonable efforts to bring about a favorable and speedy disposition of all such proceedings and any other proceedings.

If any proceedings are filed seeking to enjoin or otherwise prevent or declare invalid unlawful the construction or unlawful Tenant's construction, the occupancy, maintenance, maintenance or operation of the Facility Project or any portion thereof, Tenant will Borrower and Co-Borrower shall at their sole expense (i) cause such proceedings to be vigorously contested in good faith, faith and (ii) in the event of an adverse ruling or decision, prosecute all allowable appeals therefrom, and will, without .
