Proceedings and Litigation. Except as set forth in the SEC Reports, there is no material action, suit, proceeding or investigation pending or, to the best of the Company's knowledge, currently threatened before any arbitrator, court, administrative agency or other governmental body (nor, to best of the Company's knowledge, is there any basis for any such action, suit, proceeding or investigation) (i) against or affecting the Company or (ii) seeking to restrain, prevent or change the transactions contemplated hereby or otherwise questioning the validity or legality of such transactions. Neither the Company nor any of its Subsidiaries is a party or subject to, and none of the assets of the Company or any of its Subsidiaries is bound by, the provisions of any order, writ, injunction, judgment or decree of any arbitrator, court or government agency or instrumentality.
