Procedures and Performance. Successful Respondent will perform Projects as directed by DIR, in accordance with the terms of this Agreement and the process described in this Article. From time to time and at DIR’s sole discretion, DIR may request Successful to perform Projects. DIR may initiate a request for a new Project by providing such request in writing (each such request, a "Project Request") to Successful Respondent. Successful Respondent shall justify to DIR when it has insufficient resources to perform such work, including through reprioritization or rescheduling of Project activities of Successful Respondent Personnel. The DIR Representative will request, define and set the priority for Projects. Successful Respondent shall maintain appropriate continuity of personnel assigned to perform Projects.

Procedures and Performance. Service Provider shall perform Projects requested and approved by DIR in accordance with Section 11.5 and the Service Management Manual, as applicable. The Projects underway as of the Effective Date are specified in Exhibit 9. For purposes of this Agreement, "Projects" means discrete units of work approved by DIR, undertaken to create a unique product or result. If Supplier desires to make any change to a Project that is underway as of the Effective Date, then Supplier shall submit to Kraft a written proposal describing such change and the potential impact of such change, and Kraft may, in its sole discretion approve or reject such proposal. A “Project” is a discrete unit of non-recurring work that is (i) not an inherent, necessary or customary part of the day-to-day Services, (ii) not required to be performed by Supplier to meet the existing Service Levels (other than Service Levels related to Project performance and except as provided in the applicable Supplement), and (iii) unless as otherwise provided in the applicable Supplement, that requires at least [ * * * ] of a Supplier Personnel’s effort to complete. A Project may consist of or include work that would otherwise be treated as New Services. The Supplier Personnel assigned to perform such Projects shall possess the training, education, experience, competence and skill to perform such work. The Kraft Contract Manager or his or her designee shall request, define and set the priority for such Projects. Supplier shall maintain appropriate continuity of personnel assigned to perform Projects. Kraft shall pay for Projects performed by Supplier at Kraft’s request in accordance with the applicable Supplement.

Procedures and Performance. Beginning on the Commencement Date, Supplier shall perform Projects requested and approved by Triad as part of the Services.
