The Company shall deposit cash at the time and in the manner as provided in Section 11.09, sufficient to pay the aggregate Fundamental Change Repurchase Price (excluding the Make-Whole Premium) of all Notes to be purchased pursuant to this Section 11.05; provided that the Company shall make deposits relating to payment of the Make-Whole Premium in accordance with Section 14.02.
