The officer of the Company Fund receiving any such request from Indemnitee shall, promptly upon receipt of such a request for indemnification, advise the Board of Directors in writing that Indemnitee has requested indemnification.

Procedure for Determination of Entitlement to Indemnification. (a) To obtain indemnification under this Agreementhereunder, following a Final Adjudication of the applicable Claim, Indemnitee shall submit to the Company a written requestrequest therefor, including therein or therewith along with such documentation and information as is reasonably available to Indemnitee and is reasonably necessary to determine whether and to what extent Indemnitee is entitled to indemnification. Indemnitee may submit one indemnification hereunder; provided, however, that no deficiency in any such request, documentation or more such requests from time to time and at such time(s) as Indemnitee deems appropriate in information shall adversely affect Indemnitee’s sole discretionrights to indemnification or Advancement of Expenses hereunder. The officer Secretary of the Company receiving any such request from Indemnitee shall, promptly upon receipt of such a request for indemnification, advise the Board of Directors and the Reviewing Party in writing that Indemnitee has requested indemnification.

Indemnitee may submit one ; provided, however, that no deficiency in any such request, documentation or more such requests from time to time and at such time(s) as Indemnitee deems appropriate in information shall adversely affect the Indemnitee’s sole discretionrights to indemnification or advancement of Expenses under this Agreement.
