Procedure for Borrowing Swingline Loans. The Borrower shall give the Administrative Agent and the Swingline Lender selected by the Borrower to make a Swingline Loan notice pursuant to a Notice of Swingline Borrowing or telephonic notice of each borrowing of a Swingline Loan. Each Notice of Swingline Borrowing shall be delivered to the applicable Swingline Lender and the Administrative Agent no later than 2:00 p.m. Eastern time on the proposed date of such borrowing. Any telephonic notice shall include all information to be specified in a written Notice of Swingline Borrowing and shall be promptly confirmed in writing by the Borrower pursuant to a Notice of Swingline Borrowing sent to such Swingline Lender and the Administrative Agent by telecopy on the same day of the giving of such telephonic notice. On the date of the requested Swingline Loan and subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, the applicable Swingline Lender will make the proceeds of such Swingline Loan available to the Administrative Agent at its Principal Office in Dollars, in immediately available funds, for the account of the Borrower. The amount so received by the Administrative Agent shall, subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, be made available to the Borrower not later than 11:00 a.m. on such date if the applicable Swingline Lender and the Administrative Agent received such Notice of Swingline Borrowing by 9:00 a.m. on such date, and otherwise not later than 4:00 p.m. on such date, at the account specified by the Borrower in the Notice of Swingline Borrowing.

Not later than 10:00 a.m. Eastern time on the date of the requested Swingline Loan and subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, the applicable Swingline Lender will make the proceeds of such Swingline Loan available to the Administrative Agent at its Principal Office in Dollars, in immediately available funds, funds for the account of the Borrower. The amount so received by the Administrative Agent shall, subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, be made available to the Borrower not no later than 11:00 a.m. Eastern time on such date if by depositing same, in immediately available funds, in an account of the applicable Swingline Lender and the Administrative Agent received such Notice of Swingline Borrowing by 9:00 a.m. on such date, and otherwise not later than 4:00 p.m. on such date, at the account specified Borrower designated by the Borrower in the Notice of Swingline BorrowingDisbursement Instruction Agreement.

The Borrower Borrowers shall give the Administrative Agent and the applicable Swingline Lender selected by the Borrower to make a Swingline Loan notice pursuant to a Notice of Swingline Borrowing or telephonic notice of each borrowing of a Swingline Loan. On Not later than 3:00 p.m. Central time on the date of the requested Swingline Loan and subject to satisfaction or waiver of the applicable conditions set forth in Section 5.2. 5.02 for such borrowing, the applicable such Swingline Lender will make the proceeds of such Swingline Loan available to the Administrative Agent at its Principal Office Borrowers in Dollars, in immediately available funds, for the account of the Borrower. The amount so received by the Administrative Agent shall, subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, be made available to the Borrower not later than 11:00 a.m. on such date if the applicable Swingline Lender and the Administrative Agent received such Notice of Swingline Borrowing by 9:00 a.m. on such date, and otherwise not later than 4:00 p.m. on such date, at the account specified by the Borrower Borrowers in the Notice of Swingline Borrowing. Swingline Loans shall, as of any date of determination, first, be available from Xxxxx Fargo in its capacity as a Swingline Lender in an amount not to exceed its Swingline Availability as of such date, and, if Xxxxx Fargo’s Swingline Availability in its capacity as a Swingline Lender as of such date shall be zero, second, be available in equal amounts from the other Swingline Lenders, in each case subject to the terms of this Section 2.03.

The Borrower shall give the Administrative Agent and the applicable Swingline Lender selected by the Borrower to make a Swingline Loan notice pursuant to a Notice of Swingline Borrowing or telephonic notice of each borrowing of a Swingline Loan. Any telephonic notice shall include all information to be specified in a written Notice of Swingline Borrowing and shall be promptly confirmed in writing by the Borrower pursuant to a Notice of Swingline Borrowing sent to such the applicable Swingline Lender and the Administrative Agent by telecopy on the same day of the giving of such telephonic notice. On Each Swingline Lender shall deposit an amount equal to the Swingline Loan being requested to be made by such Swingline Lender to the Borrower with the Administrative Agent at the Principal Office, in immediately available funds not later than 10:30 a.m. Pacific time on the date of such proposed Swingline Loan. Not later than 11:00 a.m. Pacific time on the date of the requested Swingline Loan and subject to satisfaction of the applicable conditions set forth in Section 5.2. 6.2 for such borrowing, the applicable Swingline Lender will make the proceeds of such Swingline Loan available to the Administrative Agent at its Principal Office in Dollars, in immediately available funds, for the account of the Borrower. The amount so received by the Administrative Agent shall, subject to satisfaction of the applicable conditions set forth in Section 5.2. for such borrowing, be made shall make available to the Borrower in the account specified in the Disbursement Instruction Agreement, not later than 11:00 a.m. Pacific time on the date of the requested Swingline Loan, the proceeds of such date if the applicable Swingline Lender and amounts received by the Administrative Agent received such Notice of Swingline Borrowing by 9:00 a.m. on such date, and otherwise not later than 4:00 p.m. on such date, at the account specified by the Borrower in the Notice of Swingline BorrowingAgent.
