Common use of Procedure for assignment Clause in Contracts

Procedure for assignment. Subject to the conditions set out in paragraph (d) below and in Clause 26.2 (Conditions of assignment or transfer), an assignment may be effected in accordance with paragraph (b) below when the Facility Agent executes an otherwise duly completed Assignment Agreement delivered to it by the Existing Lender and the New Lender. The Facility Agent shall, subject to paragraph (d)(ii) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

Procedure for assignment. Subject to the conditions set out in paragraph (d) below and in Clause 26.2 23.2 (Conditions of assignment or transfer), ) an assignment may be effected in accordance with paragraph (bc) below when the Facility Agent executes an otherwise duly completed Assignment Agreement delivered to it by the Existing Lender and the New LenderLender together with a processing and recordation fee. The Facility Agent shall, subject to paragraph (d)(iib) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

Procedure for assignment. (A) Subject to the conditions set out in paragraph (d) below and in Clause 26.2 28.2 (Conditions of assignment and transfer or transfer), change in Facility Office) an assignment may be effected in accordance with paragraph (bC) below when the Facility Agent executes an otherwise duly completed Assignment Agreement delivered to it by the Existing Lender and the New Lender. The Facility Agent shall, subject to paragraph (d)(iiB) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

Subject to compliance with the provisions of Clause 24.1 (Assignments and transfers by the Lenders) and compliance with the conditions set out in paragraph (d) below and in Clause 26.2 24.2 (Conditions of assignment or transfer), an assignment may be effected in accordance with paragraph (b) clause 24.6.3 below when the Facility Agent executes an otherwise duly completed Assignment Agreement delivered to it by the Existing Lender and the New Lender. The Facility Agent shall, subject to paragraph (d)(ii) 24.6.2 below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

The Facility Agent shall, subject to paragraph (d)(iib) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

The Facility Agent shallmust, subject to paragraph (d)(iib) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

The Facility Agent shall, subject to paragraph (d)(iib) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

(a) Subject to the conditions set out in paragraph clause 24.2 (dCompany consent) below and in Clause 26.2 clause 24.3 (Conditions Other conditions of assignment or transfer), ) an assignment may be effected in accordance with paragraph (b) below clause 24.7(c), when the Facility Agent executes an otherwise duly completed Assignment Agreement delivered to it by the Existing Lender and the New Lender. The Facility Agent shall, subject to paragraph (d)(ii) belowclause 24.7(b), as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.

The Facility Agent shall, subject to paragraph (d)(iib) below, as soon as reasonably practicable after receipt by it of a duly completed Assignment Agreement appearing on its face to comply with the terms of this Agreement and delivered in accordance with the terms of this Agreement, execute that Assignment Agreement.
