Pro Rata Share Defined. For the purposes of this Agreement, the “Pro Rata Share” of an Investor means the proportion that the unpaid principal and accrued returns on such Investor’s Securities bears to the aggregate unpaid principal and accrued returns on all outstanding Securities.
