Common use of Pro Forma Leverage Ratio Clause in Contracts

Pro Forma Leverage Ratio. The Leverage Ratio for the last four fiscal quarters of the Borrower ending closest to the Effective Date shall not exceed 9.25 to 1.00 determined on a Pro Forma Basis after giving effect to (i) the Transaction and (ii) the Loans to be made, on the Effective Date and the use of the proceeds thereof and the payment of fees and expenses in connection therewith.
