Pro Forma Capitalization Table Sample Clauses

The Pro Forma Capitalization Table clause defines how a company's ownership structure is represented after a specific transaction, such as an investment or financing round. It typically outlines the number and types of shares held by each stakeholder, including founders, investors, and option holders, reflecting the anticipated post-transaction equity distribution. This clause ensures all parties have a clear, agreed-upon understanding of ownership percentages and potential dilution, thereby preventing disputes and promoting transparency regarding the company's capital structure.
