Privilege Fee. The annual fee paid by Concessionaire to Authority as consideration for the privilege of concession rights at the Airport comprised of the Percentage Fee.
Privilege Fee. As consideration for the privilege of operating the concession hereunder, Lessee shall pay to Lessor each Contract Year, for the full term of this Agreement, a Privilege Fee. Said Privilege Fee shall be the greater of the guaranteed Minimum Annual Privilege Fee applicable to Gross Revenues, hereinafter defined, as follows:
17.1.1 Privilege Fee- the greater of either:
a. ten percent (10%) of the Lessee’s annual Gross Revenues (“Percentage Privilege Fee”); OR

17.1.2 Monthly payment shall be the greater of 1/12th of the respective year’s MAG or ten percent (10%) of reported Gross Revenues for the previous month remitted by the fifteenth (15th) of the following month.
17.1.3 In any Contract Year where the total deplanements at the Airport decline by 15% or more as compared to the prior Contract Year, the Lessee’s MAG for such Contract Year shall be reduced proportionate to the decline in deplanements as part of the year-end reconciliation process. Where the Lessor reasonably determines during any Contract Year that a MAG reduction is likely, the Lessee will only be required to remit the ten percent (10%) of reported Gross Revenues for any period of time the Lessor deems appropriate in its sole discretion.
Privilege Fee. As consideration for the rights and privileges granted herein to operate the Concession at DEN, beginning on the Commencement Date and continuing through the Term, Concessionaire covenants to pay to City for each month, or portion thereof, a Privilege Fee equal to the sum of the MAPF and the Percentage Fee.

Privilege Fee. For the privilege of having the right to use the Trademarks under the terms and conditions of this Agreement, Licensee agrees to pay to Licensor annually during the term of this Agreement a privilege fee (the "Privilege Fee") equal to $4,227,000 per fiscal year without regard to the level of Licensee's sales volume during such fiscal year. The first annual Privilege Fee shall be due and payable on the execution and delivery of this Agreement, and, thereafter, the annual Privilege Fee shall be due and payable annually on the first (1st) day of the fourth (4th) fiscal quarter of each fiscal year (based upon a fiscal year which ends on the Saturday nearest to the last day of January of each year). The Privilege Fee shall not be pro-rated or refunded to Licensee.
Privilege Fee. For the privilege of performing FBO Services at the Airport pursuant to Section 2 above, beginning on the Rent Commencement Date and during the Term of the Lease, Lessee shall pay to the Aviation Authority each month during the term of this Lease a Privilege Fee in an amount equal to the greater of either (a) one twelfth (1/12) of the Minimum Annual Rent determined pursuant to Section 4.3 below or (b) the sum of the Percentage Privilege Fees determined pursuant to Section 4.5 (The Privilege Fee or Minimum Annual Rent shall be referred to as “Annual Rent”). The Privilege Fee shall be payable, without demand, on or before the twentieth (20th) day of the month following each calendar month of the term hereof and on the calendar month immediately following the end of the term, a sum of money equal to the amount, if any, by which the Percentage Privilege Fees calculated pursuant to Section 4.5 exceeds the Minimum Annual Rent payable for such month.

Privilege Fee.
(1) For the term of this Agreement, the Operator must pay to the Director for the privileges granted under this Agreement a privilege fee of [privilege fee alpha number] percent ([privilege fee numeric number]%) of the Operator's Gross Receipts for the preceding year or portion of a year.
(2) Neither the Operator nor the Director will have a right to an adjustment of the fees. The Operator has no right to waiver of the fee under any circumstances.
Privilege Fee. As consideration for the privilege of operating the concession hereunder, Concessionaire shall pay to County each contract year, for the full term of this Agreement, a Privilege Fee. Said Privilege Fee shall be the greater of either the guaranteed Minimum Annual Privilege Fee or the Percentage Fee applicable to Gross Revenues, hereinafter defined, as follows: Privilege Fee – the greater of either:
a. ten percent (10%) of the Concessionaire’s annual Gross Revenues (“Percentage Privilege Fee”); OR
b. the respective yearly amount shown below as the Concessionaire’s Minimum Annual Guaranteed fee (“MAG”): Monthly payment shall be the greater of 1/12th of the respective year’s MAG or 10% of reported Gross Revenues for the previous month. The MAG payment shall be paid in advance on the first (1st) day of each month. On or before the 20th of each month the Concessionaire shall provide the Airport with: i) a signed and certified Report of Gross Revenues for the preceding month and ii) payment of any percentage Privilege Fee shown to be due for the preceding month, as designated on Exhibit D, attached hereto and made a part hereof. In the event that one of the following conditions exists, during the term of this Agreement, the MAG hereinabove provided for in this Section 4.1.a above shall be abated for the period of time the condition exists.
a. A major traffic reduction at the Airport. A major traffic reduction shall be defined as a twenty-five percent (25%) or more reduction in the number of passengers deplaning on scheduled airline flights at the Airport during any period of three (3) consecutive calendar months as compared to the number of such deplaning passengers in the same calendar months during the preceding calendar year.
b. The abatement amount for those months that are abated as defined in SubSection 4.1(a)(3)(a) will be the prorated reduction of that month’s 1/12th payment of the minimum annual guarantee. For example, if May, June and July have a traffic reduction of 27%, 30% and 26% respectively, then the 1/12th minimum annual guarantee payment for May would be reduced by 27%, June would be reduced by 30%, and July would be reduced by 26%.
c. If the major traffic reduction continues for additional months, the proportional abatement will continue as well, until there is a month when traffic has not decreased twenty-five percent (25%) or more, at which time the full minimum annual guarantee payment shall be made for such month.
