Private Placement Numbers. A Private Placement Number issued by Standard & Poor’s CUSIP Service Bureau (in cooperation with the SVO) shall have been obtained for each series of the Notes.
Private Placement Numbers. A Private Placement Number issued by Standard & Poor’s CUSIP Service Bureau (in cooperation with the Securities Valuation Office of the National Association of Insurance Commissioners) shall have been obtained for each Series of the Notes.

On or prior to such Closing Date, counsel to such Purchaser shall have duly made the appropriate filings with Standard & Poor’s CUSIP Service Bureau, as agent for the National Association of Insurance Commissioners, in order to obtain a private placement number for each Series of Notes being sold on such Closing Date.
Private Placement Numbers. The Series B Preferred Stock and the Warrants shall have been assigned private placement numbers by Standard & Poor's Corporation.
