Priority Resources and Shared Resources Clause Samples

The "Priority Resources and Shared Resources" clause defines how certain resources are allocated and accessed between parties, distinguishing between those given priority to one party and those intended for shared use. In practice, this clause may specify which personnel, equipment, or facilities are exclusively reserved for a party’s use and which are available to both parties, often outlining procedures for requesting or scheduling shared resources. Its core function is to prevent conflicts and ensure efficient resource utilization by clearly delineating access rights and responsibilities.
Priority Resources and Shared Resources. All Recovery Resources shall be available on a priority use basis (―Priority Resources‖) except for those designated by Service Provider as available on a shared use basis (―Shared Resources‖). Service Provider‘s designations of Shared Resources shall be made in its reasonable discretion and shall be subject to change without notice.
