PRIOR AGREEMENTS; MODIFICATIONS. This Agreement shall supersede all prior agreements, documents or other instruments with respect to the matters covered hereby, saving and excepting the Confidential Disclosure Agreement dated October 15, 2003 between ▇▇▇▇▇ and PHMD, which shall continue in force. Where the terms of this Agreement and the terms of the Confidential Disclosure Agreement may conflict, the terms of this Agreement shall control. This Agreement may be amended only by an instrument in writing, duly signed by or on behalf of the parties hereto.
