PRINCIPAL’S REPRESENTATIVE. (a) The Principal's Representative will give Directions and carry out all its other functions under the Contract as the agent of the Principal (and not as an independent certifier, assessor or valuer).
(b) The Contractor must comply with any Direction by the Principal's Representative given or purported to be given under a provision of the Contract.
(c) Except where the Contract otherwise provides, the Principal's Representative may give a Direction orally but will as soon as practicable confirm it in writing.
PRINCIPAL’S REPRESENTATIVE. If the Principals, by Majority Vote, provide WTI, WTC and their Permitted Transferees and Affiliates with 30 days' notice that ▇▇▇▇▇▇ has been terminated as Principals' Representative, WTI, WTC and their Permitted Transferees and Affiliates shall cease to rely on ▇▇▇▇▇▇ as Principals' Representative and shall rely on any successor Principals' Representative who such Principals so designate as the new "Principals' Representative." The term "Majority Vote" has the meaning assigned to such term in the LLC Agreement.
PRINCIPAL’S REPRESENTATIVE. By executing this Agreement, each Principal hereby irrevocably nominates, constitutes and appoints [IDENTITY OF PRINCIPALS’ REPRESENTATIVE] (the “Principals’ Representative”) as the true and lawful attorney-in-fact for such Principal, with full right, power and authority on behalf of such Principal, and in his/its name and on his/its behalf, to:
(a) take all actions, execute and deliver all such documents, instruments, certificates and declarations and otherwise take all steps as may be necessary or desirable, in the sole opinion of the Principals’ Representative, to carry out the transactions contemplated in this Agreement and to assign, transfer and set over to the Purchaser all of its rights, titles and interests in and to the Corporation Shares;
(b) register and record such transfers with all applicable governmental registries; and
(c) execute on behalf of such Vendor any amendments to this Agreement thought necessary by the Principals’ representative, acting reasonably.
PRINCIPAL’S REPRESENTATIVE. The Principal’s Representative is the person occupying the position of Director, Financial and Procurement Services at the Department for Infrastructure and Transport, of ▇▇ ▇▇▇▇▇ ▇▇, ▇▇▇▇▇▇▇▇ ▇▇ ▇▇▇▇. The Principal must promptly notify the Contractor if the name and/or contact details of the Principal’s Representative change. The Principal’s Representative: is authorised to act on behalf of the Principal; and by notice in writing to the Contractor, may further delegate any of the Principal’s functions and powers under the Agreement, except those under clause 19 “Ending this Contract”. With regard to any matter that affects or has the potential to affect the safety of the Adelaide Metropolitan Rail Network, the powers, duties, discretions and authorities vested in the Principal under this Agreement may also be exercised by the Rail Commissioner established according to the Rail Commissioner Act 2009 (SA). Payment shall be made within 15 days of submission of an invoice in accordance with Clause 11.1 of Attachment 2. The Contractor’s invoices must clearly identify: clear, itemised details of all work requiring payment; the Purchase Order number, if provided by the Principal; the Agreement (Contract) Number and Title; and the name of the Department’s Section and/or the Department Contract Manager. PRINCIPAL’S REPRESENTATIVE. (a) The Principal's Representative appointed by TfNSW at the Commencement Date is set out in the Agreement Particulars.
(b) The Principal's Representative will give directions and carry out all its other functions under this Agreement as the agent of TfNSW (and not as an independent certifier, assessor or valuer) and is subject to the directions of TfNSW.
(c) TfNSW may at any time:
(i) replace the Principal's Representative by notifying the NOPs; or
(ii) appoint additional persons to exercise any functions of the Principal's Representative in accordance with clause 3.5(d).
(d) TfNSW may:
(i) by written notice to the NOPs appoint additional persons to exercise any of TfNSW's functions under this Agreement;
(ii) not appoint more than one person to exercise a specific function under this Agreement; and
(iii) revoke any appointment under clause 3.5(d)(i)by notice in writing to the NOPs.
(e) All references in this Agreement to TfNSW include a reference to the Principal's Representative and any other representatives appointed under this clause 3.5.

The person named in the Order Form as Principal’s Representative, or any alternate person the Principal nominates in writing, will act as the Principal's Representative and will have authority to act on behalf of the Principal for all purposes in connection with this Agreement.

The appointment of a Principal’s Representative shall not prevent the Principal from exercising any function. The appointment may allow for further authorisation by the Principal’s Representative. The Principal may notify the Supplier of a change in the Principal’s Representative at any time.
7.2 (Rights and powers of the Principal’s Representative) The Principal’s Representative may exercise any rights and powers granted to the Principal under this Contract. The Principal’s Representative may give a direction in respect of any matter relating to this Contract.
