Prime Contract Assignment. Neither Party shall assign or delegate this Contract or any of its rights, duties, or obligations hereunder to any third party or legal entity, without the prior express written approval of the other Party, which consent shall not be unreasonably withheld, except to any successors of either Party by merger or consolidation provided such successor or assignee shall comply with the rights and obligations of such replaces Party as unchanged.
