Common use of Primary Duties Clause in Contracts

Primary Duties. During the Term, and excluding any periods of disability, vacation or sick leave to which the Executive is entitled, the Executive shall devote his primary business time, attention and energies to the business of the Company. During the Term, it shall not be a violation of this Agreement for the Executive to (i) serve on corporate, civic or charitable boards or committees, (ii) deliver lectures or fulfill speaking engagements and (iii) manage personal investments, so long as in each case such activities do not materially interfere with the performance of the Executive’s responsibilities as an employee of the Company in accordance with this Agreement. The parties hereto recognize that Executive has other on-going projects and business interests and he is not precluded hereby from engaging in such projects or interests so long as he performs his executive functions as a primary focus.
