PRICING AGENT Sample Clauses
PRICING AGENT. Buyer shall contract with and pay for the services of a single independent consultant to provide pricing services with respect to the Transactions under this Agreement (“Pricing Agreement”). The Pricing Agent shall provide to the Buyer the On-Peak Initial ▇▇▇▇ ▇▇▇▇▇ and the Off-Peak Initial ▇▇▇▇ ▇▇▇▇▇. In addition, on each Business Day, the Pricing Agent shall provide to the Buyer the On-Peak Forward Price and the Off-Peak Forward Price. To the extent that information and/or quotes are not available to determine an On-Peak Forward Price or Off-Peak Forward Price for a given month the Pricing Agent shall be permitted to use information and/or quotes relevant to such month for which information/and quotes are available in order to provide the Buyer the required On-Peak Forward Price and Off-Peak Forward Price for such month. Exhibit E presents in more detail the methodology to be used by the Pricing Agent in determining the Off-Peak Initial ▇▇▇▇ ▇▇▇▇▇, On-Peak Initial ▇▇▇▇ ▇▇▇▇▇, the On-Peak Forward Price and the Off-Peak Forward Price.
PRICING AGENT. As pricing agent, INVESCO (NY) shall:
(1) Obtain security market quotes from services approved by the investment manager of the Funds or, if such quotes are unavailable, then obtain such prices from the investment manager of the Funds or from such sources as the investment manager may direct, and, in either case, calculate the market value of the Funds' investments; and
(2) Value the assets of the Funds and compute the net asset value per Share of the Funds at such dates and times and in the manner specified in the then currently effective Prospectus and transmit to the Funds' investment manager.

(1) Obtain security market quotes from services approved by the investment manager of the Funds or, if such quotes are unavailable, then obtain such prices from the investment manager of the Funds or from such sources as the investment manager may direct, and, in either case, calculate the market value of the Funds' investments; and
(2) Value the assets of the Funds and compute the net asset value per Share of the Funds at such dates and times and in the manner specified in the then currently effective Prospectus and transmit to the Funds' investment manager.

(1) Obtain security market quotes from services approved by AIM or, if such quotes are unavailable, from such sources as may be designated in procedures adopted by AIM and approved by the Company's Board, and, in either case, calculate the market value of the Funds' investments; and
(2) Value the assets of the Funds and compute the net asset value per Share of the Funds at such dates and times and in the manner specified in the then currently effective Prospectus and transmit to the Funds' portfolio manager.
PRICING AGENT. To the extent that information and/or quotes are not available to determine a Forward Price for a given month, the Pricing Agent shall be permitted to use information and/or quotes relevant to such month for which information/and quotes are available in order to provide the Buyer the required Forward Price for such month. Exhibit C presents in more detail the methodology to be used by the Pricing Agent in determining the Forward Price.
