Price Decrease. In the event AT&T PARADYNE reduces the price of any Product or offers the Product at a lower price, including raising the discount offered, to any other like Purchaser, AT&T PARADYNE shall provide thirty (30) days prior written notice and [***]. AT&T will also credit Tech Data for the difference between the invoice price charged to Tech Data and the reduced price for each unit of Product held in inventory by Tech Data's customers on the date the reduced price is first offered by AT&T PARADYNE provided Tech Data's customers request is received by AT&T PARADYNE within sixty (60) days from the time the reduced price is first offered and is accompanied by reasonable commercial documents.
