Common use of Press Releases and Announcements Clause in Contracts

No press release or other public announcement or disclosure related to this Agreement or the Contemplated Transactions (including, but not limited to, the terms and conditions of this Agreement) shall be issued or made by any Party without the prior written approval of the other Parties except as required by Law or stock exchange requirements.

The foregoing shall not prohibit any disclosure required by Law or stock exchange requirementsLaw, provided that the disclosing Party shall use its commercially reasonable efforts to consult with the other Party in advance of such disclosure.

Prior to making any public disclosure required by applicable Law or regulation, the disclosing Party shall give the other Party a copy of the proposed disclosure and reasonable opportunity to comment on the same to the extent practicable.
