Common use of Preservation of Organization Clause in Contracts

Preservation of Organization. Seller will use commercially reasonable efforts to preserve the business organization of the Divisions intact, to preserve for Buyer the present relationships of the Divisions with its suppliers, customers and agents and to keep available to Buyer the present key officers and employees of the Divisions, provided that Seller shall be under no obligation to offer any payment or other inducement to any such officer or employee to secure their availability to Buyer.
