Common use of Preservation of Marks Clause in Contracts

Preservation of Marks. Each Assignor agrees to use its Marks in interstate commerce during the time in which this Agreement is in effect, sufficiently to preserve such Marks as trademarks or service marks under the laws of the United States; provided, that, to the extent permitted by the Credit Agreement, no Assignor shall be obligated to preserve any Xxxx in the event such Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is no longer desirable in the conduct of its business.

Preservation of Marks. Each Assignor agrees to use its Marks in interstate commerce during the time in which this Agreement is in effect, sufficiently to preserve such Marks as trademarks or service marks under the laws of the United States; provided, PROVIDED, that, to the extent permitted by the Credit Agreement, no Assignor shall be obligated to preserve any Xxxx in the event such Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is no longer desirable in the conduct of its business.

Preservation of Marks. Each Assignor agrees to use its Marks in interstate commerce or foreign commerce, as the case may be, during the time in which this Agreement is in effect, sufficiently to preserve such Marks as valid and subsisting trademarks or service marks under the laws of the United StatesStates or the relevant foreign jurisdiction; provided, that, to the extent permitted by the Credit Agreement, provided that no Assignor shall be obligated to preserve any Xxxx in to the event such extent the Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is no longer desirable in the conduct of its business.

Preservation of Marks. Each Assignor agrees to use its Marks which are material to such Assignor's business in interstate commerce during the time in which this Agreement is in effect, sufficiently effect and to take all such other actions as are reasonably necessary to preserve such Marks as trademarks or service marks under the laws of the United States; provided, that, to the extent permitted by the Credit Agreement, no Assignor shall be obligated to preserve States (other than any Xxxx in the event such Marks which such Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is are no longer desirable used or useful in the conduct of its businessbusiness or operations).

Each Assignor agrees to use or license the use of its Marks in interstate commerce during the time in which this Agreement is in effect, sufficiently to preserve such Marks as trademarks or service marks registered under the laws of the United StatesStates or the relevant foreign jurisdiction; providedPROVIDED, that, to the extent permitted by the Credit Agreement, that no Assignor shall be obligated to preserve any Xxxx in the event such Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is no longer desirable necessary in the conduct of its business.

Each Assignor agrees to use its Marks and Domain Names in interstate commerce or foreign commerce, as the case may be, during the time in which this Agreement is in effect, effect sufficiently to preserve such Marks as valid and subsisting trademarks or service marks under the laws of the United StatesStates or the relevant foreign jurisdiction; provided, that, to the extent permitted by the Credit Agreement, provided that no Assignor shall be obligated to preserve any Xxxx in to the event such extent the Assignor determines, in its reasonable business judgment, that the preservation of such Xxxx is no longer desirable in the conduct of its business.
