Common use of Prepayment Notice Clause in Contracts

Prepayment Notice. The Participating Lenders and the Fronting Bank party hereto, which constitute the Required Lenders, and the Administrative Agent hereby waive the requirement under Section 2.11(a) of the Credit Agreement to provide notice to the Administrative Agent not less than three Business Days prior to the prepayment of the Existing Term Loans to be made hereunder. It is understood and agreed that notwithstanding any provisions of the Credit Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a) of the Credit Agreement.

Prepayment Notice. It is understood and agreed that notwithstanding any provisions of the Credit this Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.08(d) of the Credit Agreement.

The Repricing Participating Lenders and the Fronting Bank party hereto, which constitute the Required Lenders, and the Administrative Agent hereby waive the requirement under Section 2.11(a2.05(a) of the Credit Agreement to provide notice to the Administrative Agent not less than three Business Days prior to the prepayment of the Existing Term Loans to be made hereunderthat are Eurocurrency Rate Loans and not later than 10:00 a.m. on the date of prepayment of the Existing Term Loans that are Base Rate Loans contemplated herein. It is understood and agreed that notwithstanding any provisions of the Credit Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.05(a) of the Credit Agreement.

The Participating Lenders and (including, without limitation, the Fronting Bank Banks) party hereto, which constitute the Required Lenders, and the Administrative Agent hereby waive the requirement under Section 2.11(a2.13(a)(ii) of the Credit Agreement to provide notice to the Administrative Agent not less than three (3) Business Days prior to the prepayment of the Existing Term Loans to be made hereunder. It is understood and agreed that notwithstanding any provisions of the Credit this Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.13(a)(ii) of the Credit Agreement.

The Participating Lenders and the Fronting Bank party hereto, which constitute the Required Lenders, and the Administrative Agent hereby waive the requirement under Section 2.11(a2.11(f) of the Credit Agreement to provide notice to the Administrative Agent not less than three Business Days prior to the prepayment of the Existing Term Loans that are Eurodollar Loans and not less than one Business Day prior to be made hereunderthe prepayment of the Existing Term Loans that are ABR Loans contemplated herein. It is understood and agreed that notwithstanding any provisions of the Credit Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.11(f) of the Credit Agreement.

Prepayment Notice. The Participating Term Loan Lenders and the Fronting Bank party hereto, which constitute the Required Requisite Lenders, and the Administrative Agent hereby waive the requirement under Section 2.11(a2.3(a) of the Credit Agreement to provide notice to the Administrative Agent not less than three (3) U.S. Government Securities Business Days prior to the prepayment of the Amendment No. 1 Existing Term Loans to be made hereunder. It is understood and agreed that notwithstanding any provisions of the Credit Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.3(a) of the Credit AgreementAgreement (which notice shall be contingent on the refinancing contemplated by this Amendment).

It is understood and agreed that notwithstanding any provisions of the Credit Agreement or any other Loan Document to the contrary this Amendment shall serve as the notice referred to in Section 2.11(a2.12(a)(ii) of the Credit Agreement.
