The Company agrees to prepare and file promptly with the Commission, upon request of the Representative, such amendments or supplements to the Registration Statement or Prospectus, in form satisfactory to legal counsel to the Representative, as in the opinion of the Representative and of legal counsel to the Company, may be necessary in connection with the offering or distribution of the Securities and will use its best efforts to cause the same to become effective as promptly as possible.
