PREFERENCE WARRANT STOCK SHELF REGISTRATION STATEMENT. The Company shall also caused to be filed pursuant to Rule 415 (or any successor provision) of the Securities Act, a shelf registration statement covering the issuance of the Preference Warrant Shares (the "Preference Warrant Stock Shelf Registration Statement") and shall use its best efforts to cause the Preference Warrant Stock Shelf Registration Statement to be declared effective under the Securities Act by January 27, 2000. Subject to Section 2.3(a) hereof, the Company shall use reasonable efforts to maintain the effectiveness of the Warrant Stock Shelf Registration Statement until such time as all the Preference Warrants have expired or have been exercised or redeemed.
